School Climate Signs LLC

Underwriting Terms Agreement


Effective Date: [08-14-26]


Thank you for supporting the work of School Climate Signs LLC. We sincerely appreciate your investment in programming designed to promote student well-being, connection, belonging, curiosity and wonder and to provide schools with an easy, accessible way to bring these messages into the everyday school experience.


These terms are intended to make clear how underwriting support is used and the nature of the relationship between School Climate Signs LLC (“School Climate Signs,” “we,” or “us”) and those who provide underwriting support (“Underwriter”).


1. Nature of Underwriting


School Climate Signs LLC is a for-profit, mission-driven social enterprise. Payments made through our underwriting opportunities are sponsorship or program-underwriting payments to School Climate Signs LLC and are not charitable donations to a nonprofit organization. We do not represent these payments as tax-deductible charitable contributions.


Underwriting helps sustain, develop and expand programming made available through our free channels; TheHomeRoomChannel.org, ThriveScreens.org, CityLife.ThriveScreens.org, and other School Climate Signs initiatives.


2. How Underwriting Funds Support the Work


As a general target, approximately two-thirds of underwriting funds support the people who research, create, review, vet, update, adapt, prepare and publish programming. This includes the development of new content as well as the continued review, updating and adaptation of materials from our existing content library.


Approximately one-third of underwriting funds supports the infrastructure and other resources necessary to develop, maintain, distribute and expand the programming. These expenses may include website and application development, technology and hosting, media licensing, distribution, promotion and awareness-building, marketing, legal expenses and related operating needs.


These percentages are intended as general allocation targets rather than a guarantee that each individual underwriting payment will be divided in precisely these proportions.


3. Use of Underwritten Programming


Our programming draws upon a library developed over several years while continually adding, reviewing, updating and adapting content.


Content created, updated, adapted, vetted or distributed with underwriting support may be used across School Climate Signs' free channels and initiatives. It may also be incorporated into customized streams or loops that School Climate Signs provides to schools and other organizations through its paid services.


Schools purchasing a customized stream or loop are not purchasing the underlying underwritten content or acquiring ownership or exclusive rights to it. Their fees compensate School Climate Signs for services such as customization, curation, assembly, scheduling, integration of school-specific materials, hosting, maintenance and delivery through a school-specific stream or URL.


In this way, underwriting can help programming reach additional students and learning communities rather than limiting its benefit to a single channel or audience.


Underwriting supports the programming. Premium fees support customization and service.


4. Editorial Independence


Underwriting does not provide an Underwriter with ownership of programming, access to student information, control over editorial decisions or exclusive rights to content.


School Climate Signs retains editorial discretion concerning the research, creation, selection, review, adaptation, scheduling, placement, presentation and distribution of its programming.


Underwriting is intended to support the mission and availability of the programming and does not constitute the purchase of advertising directed at students.


5. Acknowledgment of Underwriters


When applicable, School Climate Signs may recognize underwriting with language such as:


“This week of programming is made possible with support from…”


or


“This programming strand is made possible with support from…”


Any acknowledgment is recognition of support and does not imply that the Underwriter created, approved, controls or endorses individual pieces of programming.


An Underwriter may choose how its name should appear or may choose to receive no public acknowledgment.


Use of an organization's logo or other protected brand materials will be subject to permission from the organization and any applicable brand guidelines. School Climate Signs reserves discretion regarding the form, placement and appropriateness of acknowledgments.


6. Cancellation and Refunds


An Underwriter may cancel an underwriting commitment and request a full refund within three business days of School Climate Signs LLC's receipt of payment.


After this three-business-day cancellation period, underwriting payments are nonrefundable, except where otherwise required by applicable law or where School Climate Signs determines that a refund is appropriate.


After the cancellation period, an Underwriter may still request that its name, organization name, logo or other public acknowledgment be removed from future acknowledgments associated with the underwriting. The underwriting acknowledgement will not be recanted, under any circumstances once posted.


Removal of acknowledgment does not cancel the underwriting commitment and does not require School Climate Signs to remove, alter or discontinue programming, production, distribution or other activities supported by the underwriting.


If School Climate Signs is unable to provide a specifically designated underwriting opportunity as described, we may offer the Underwriter an appropriate alternative, an opportunity to reschedule the acknowledgment or a refund.


7. No Guarantee of Specific Content or Outcome


Unless School Climate Signs expressly agrees otherwise in writing, underwriting does not purchase or guarantee the creation, publication or continued availability of any particular piece of content.


School Climate Signs may revise, replace, reschedule or discontinue programming when necessary to maintain quality, appropriateness, accuracy, timeliness or consistency with our mission and editorial standards.


8. Acceptance of These Terms


By submitting an underwriting payment, the Underwriter acknowledges that they have had the opportunity to review these terms and agrees to the terms applicable to the underwriting arrangement.


If an individual submits underwriting on behalf of an organization, that individual represents that they are authorized to make the payment and accept these terms on the organization's behalf.
